Alan D. Yarbro
Alan Yarbro has extensive experience in general representation of public and private companies, their management and boards.
Mr. Yarbro’s practice includes:
- corporate governance and SEC work
- takeovers (friendly and hostile)
- securities offerings (investment management, commercial and investment banking, publishing, transportation, manufacturing, retail, healthcare and real estate), representing issuers and underwriters
- public company acquisitions
- strategies for financial service companies faced with activist investors, proxy contests and economic change
Mr. Yarbro served as a senior executive and General Counsel of Mercantile Bankshares Corporation and Mercantile-Safe Deposit and Trust Company from 1996 through mid-2002. He had significant responsibility for the design and passage of Maryland’s 1999 takeover law.
Prior to his Mercantile service, Mr. Yarbro practiced at Venable for 30 years and was the partner in charge of the firm’s securities and public company mergers and acquisition practice.
Since rejoining Venable in 2002, his practice has also included corporate governance and international private equity work.
Activities
Active in the Maryland community, Mr. Yarbro is former President of the W.S. Baer Corporation (holding company of Children’s Hospital) and trustee of Children’s Hospital Foundation. He currently holds board and committee positions with LifeBridge Health and its affiliates, including Northwest Hospital, where he is Chairman of the Board, and Sinai Hospital.
