Bret P. Siciliano
Bret Siciliano is an Associate in the Corporate Department of the Los Angeles office of Venable LLP. His practice focuses on general corporate matters, mergers and acquisitions, private placements, joint ventures, dissolutions, intellectual property licensing and real estate transactions.
He has significant experience in drafting, structuring and negotiating a wide variety of transaction documents including merger agreements, licensing agreements, employment agreements, operating agreements, stock purchase agreements, real estate purchase agreements, commercial leases and joint venture agreements.
Mr. Siciliano also assists numerous clients in the formation and operation of corporations, limited liability companies and partnerships. In addition to the foregoing, Mr. Siciliano frequently provides advice in connection with general business matters, trademark and copyright law and entertainment law.
Significant Matters
Mr. Siciliano' s recent matters include:
- Successful completion of a multi-faceted work-out loan between a regional automobile dealership and national banking association;
- Successful completion of a complex $48,000,000 real-estate loan and joint venture between a California based commercial real estate developer and a New York private equity firm;
- Successful completion of Series B Preferred Financing for a supplier of high-performance image sensors for high definition video;
- Successful completion of the purchase and sale of numerous regional automobile dealerships; and
- Various mergers and acquisitions, dissolutions, joint ventures, and licensing and distribution arrangements.
Activities
Mr. Siciliano is a member of the firm's Associates Committee. He is active in Venable's recruiting efforts and frequently interviews candidates for summer associate and lateral attorney positions, and has been a summer associate mentor. Mr. Siciliano also participates in the USC Gould School of Law's Mentor Lunch and Mock Interview Programs.
Mr. Siciliano serves local clients pro bono as part of Venable's pro bono program.
