REPRESENTATIVE EXPERIENCE
Allegis Group acquisition of Computer Horizons’ Commercial Division: $60 million.
Venable recently served as lead counsel to Allegis Group, Inc. and some of its affiliates in their acquisition of the Commercial Division of Computer Horizons Corporation (NasdaqGM:CHRZ), an information technology staffing and consulting company. The acquired assets, which include significant overseas operations in Canada and India, will primarily be integrated into Allegis’ affiliate TEKsystems, Inc., the largest information technology staffing firm in the United States.
Zachry American Infrastructure Project Acquisition
We represented a U.S. - Australian joint venture development company in connection with the structuring, negotiation and documentation of multiple transactions resulting in the acquisition of a majority interest in a liquified natural gas receiving, storage and gassification terminal locatedon the Texas Gulf Coast, which, by virtue of substantial indirect foreign ownership of U.S. infrastructure, required the approval of the Committee on Foreign Investments of the U.S.
Guthy-Renker sale, reorganization and restructuring.
We represented Guthy-Renker in its sale of a minority equity interest. We also provided counsel in a reorganization of Guthy-Renker and its subsidiaries, as well as in the restructuring of Guthy-Renker’s credit facilities with a bank syndicate led by a California regional bank.
