Courtney Capute maintains both a transactional real estate practice as part of Venable’s Real Estate practice group and a CMBS special servicing practice as a long time member of Venable’s Special Servicing group. On the transactional side, Ms. Capute represents buyers, sellers, and owners of real property in all aspects of land development, including land acquisition, financing, and ultimate disposition, with a focus on hospitality work. Her special servicing work focuses on the workout of troubled CMBS loans, including note sales and the disposition of REO property.

Representative Clients

Ms. Capute represents:
  • an international hospitality company in its acquisition of hotel sites located throughout the United States, as well as the negotiation of SNDAs, repositioning agreements and management agreements for the company; and
  • CMBS Special Servicers concerning participant and servicer rights, the negotiation of loan modifications, deed in lieu of foreclosure agreements, note sales and REO sale agreements.

Significant Matters

Ms. Capute has:
  • Successfully negotiated a master development agreement between independent private health care institutions which included land swaps, purchase options and various development restrictions and cross easements.
  • On behalf of a hotel owner and developer, negotiated the form of management agreement used in connection with the sale and retained management of a 106 hotel portfolio.
  • On behalf of four special servicers, served as real estate team leader on 62 loan restructurings related to the bankruptcy filings of the TIC sponsor affecting mortgage loans on commercial properties located in 21 states.
  • Represented the special servicer on the workout of a five property senior living multifamily apartment portfolio, including the appointment of a receiver and negotiation of a purchase and sale agreement out of the receivership action.
  • Represented the special servicer on a workout involving a 16 building, 1.9 million square foot corporate center, including the negotiation of a deed in lieu and settlement agreement.

Activities

Ms. Capute is past president of Turnaround, Inc., a non-profit agency dedicated to offering counseling and services to survivors of domestic violence and sexual assault and is a graduate of the 2006 Baltimore City Leadership class. Ms. Capute is current Chair of the firm’s Partnership Selection Committee.
