Jay Chadwick represents clients in a wide variety of matters, with a special emphasis on commercial real estate transactions. Jay's clients include individual owners and investors, regional development companies, national real estate investment trusts, banks and other securitized lenders, government contractors, commercial condominium associations, infrastructure construction companies, trade associations, and other business owners.
Jay routinely works on transactions that do not fit into a traditional structure and require a cross-disciplinary approach.
Jay has represented clients in connection with (i) the purchase, sale, development, financing, and leasing of real property, (ii) the purchase and sale of general business assets, (iii) the negotiation of credit facilities, including secured real estate loans, asset-backed loans, and mezzanine loans, (iv) the leasing of real property, (v) the negotiation of workouts, forbearance agreements, and other amendments to existing business relationships, (vi) the interpretation of condominium statutes, both in connection with the creation of commercial condominiums, the purchase of condominium units, and the administration of condominiums by condominium associations, (vii) the creation of residential subdivisions, and (viii) the formation of business enterprises generally. Jay has experience representing owners of automobile franchises with the purchase and sale of franchise assets.
Significant Matters
Negotiated the settlement of a protracted dispute under a 99-year ground lease of a multi-building rental property in Arlington County, Virginia. Settlement involved creation of a single, unified site plan allowing zoning density from a neighboring property to be used by the ground lease property, and the creation of covenants and other documents governing the relationship of owners of all property subject to the unified site plan.
Represented a regional residential and multifamily developer in connection with a series of projects in six states, including all aspects of the purchase, acquisition, development, financing, and out-sales of each project.
Negotiated a contract for the phased development and exchange of real property in connection with a mixed-use project involving the creation of master- and sub-condominium associations, and the contribution of real property by neighboring owners in exchange for separate retail and residential condominium units.
Negotiated a forbearance agreement under a lease allowing a government contractor time to sell its business and cure its defaults.
Created a uniform set of loan documents and a document assembly program for a national originator of conduit loans to allow the efficient creation of loan document packages, and supervised a team of junior lawyers in connection with the closing of loans under the loan program.
Represented a national infrastructure construction company in connection with the formation of a joint venture with a land developer to pursue public private partnership (PPP) projects.
Represented a local rock band in connection with the group's incorporation as a business and intellectual property issues.
Activities
Jay is a member of the Board of Directors for Habitat for Humanity of Northern, Virginia and performs pro bono legal work for that organization, including the creation of its most recent condominium project.
Jay is the past President of the Washington Metropolitan Philharmonic, and performs pro bono legal work for that organization. Outside of work, Jay is a musician and performs with the McLean Orchestra and other groups in Northern Virginia.
