Mr. Dvorak focuses on mergers and acquisitions, public and private offerings of equity and debt securities, and general corporate representation.
He also helps clients form new business ventures and advises them on a variety of other issues, including compliance with SEC reporting regulations and stock exchange listing requirements.
Mr. Dvorak’s experience with a wide range of business matters and industries allows him to analyze the objectives of his clients and provide effective legal advice and representation tailored to his clients’ needs.

Mr. Dvorak has represented:
- a leading global provider of consumer and identity risk management services in a $30 million asset purchase, a $14 million acquisition and a $53 million acquisition;
- a privately held provider of network security solutions and systems engineering services in its $70 million sale to a publicly traded company;
- an information technology systems integrator in its sale to a private equity fund;
- a foreign private issuer in a U.S. public offering of its American Depositary Shares; and
- an Internet marketing company in a $50 million initial public offering.
He has also represented many other public and private companies in a variety of acquisitions, dispositions and business transactions, including issuers and venture funds in private equity and venture capital financings.
