Jennifer T. Mallon
Of Counsel

Jennifer Mallon is Of Counsel in Venable's Regulatory Practice Group who practices antitrust and advertising matters. Ms. Mallon focuses on mergers and acquisitions, antitrust counseling, audits and internal investigations as well as government, civil and criminal investigations. She represents clients in investigations under the Hart-Scott-Rodino Antitrust Improvements Act and foreign antitrust statutes. In non-merger matters, Ms. Mallon's experience includes client representation in civil and criminal grand jury investigations and advising clients on the legality of joint ventures and licensing agreements, exchanges of information, joint buying groups and distribution agreements. She also counsels trade associations on a variety of antitrust matters. Prior to joining Venable, Ms. Mallon was a senior associate with a prominent national antitrust law firm. Ms. Mallon also worked as a law clerk at the Federal Trade Commission. In addition, Ms. Mallon has experience in advertising and consumer protection matters with particular emphasis on advertising content and electronic commerce marketing practices. She has advised clients in connection with federal and state investigations into a variety of marketing practices.

Ms. Mallon’s significant merger and acquisition matters include Alliant Techsystems, Inc.’s merger with Swales Aerospace, Perot Systems Corporation’s acquisition of QSS Group, Inc., ScanSoft, Inc.’s acquisition of SpeechWorks International Inc., Seneca Foods Corporation’s acquisition of Chiquita Processed Foods, Bertelsmann AG’s acquisition of Zomba Music Group, AO Smith Corporation’s acquisition of State Industries, Inc., PepsiCo Inc.’s acquisition of Quaker Oats Co., Tyson Foods, Inc.’s acquisition of IBP, Inc., creation of WesternGeo (a joint venture between Baker Hughes and Schlumberger), Albertson Inc.’s acquisition of American Stores Company, as well as numerous other small acquisitions in the oilfield services industry. In addition, Ms. Mallon has conducted numerous antitrust audits for Fortune 500 companies in a variety of industries.
