Lindsay S. McCrory
Associate

Lindsay McCrory is an associate with Venable's Corporate group.  She focuses her practice on mergers and acquisitions, reorganizations and business formation.  Ms. McCrory has developed familiarity with a variety of corporate transactions, including both buy- and sell-side stock purchase transactions and asset deals.  Her experience ranges from private deals of $500,000 to public transactions of over $180 million.  Ms. McCrory has handled matters across an array of industries including finance, technology and healthcare.

In addition to transactional work, Ms. McCrory provides ongoing advice on general corporate matters to both public and private companies in Maryland.  Ms. McCrory has also developed experience in federal and state securities matters.

Representative Matters

  • Sale of a consulting business to a public company for approximately $28 million
  • Merger of a private Maryland technology corporation with a large, public software company
  • Carve-out asset sale and subsequent sale of remaining assets in connection with a bankruptcy workout
  • Membership interest purchase in an orthopaedic surgery center for $500,000
  • Subscription to a private-placement venture capital fund connected to the healthcare industry
  • Multi-step corporate reorganization for a construction materials company
  • Asset transfer and reorganization for a major, Maryland-based public company
  • Application to become a bank holding company
  • Advice regarding investigation by the Securities Division of the Office of the Attorney General of Maryland

Activities

Since graduating law school, Ms. McCrory has donated her time as a mentor to the Project ’55 Fellowship Program run through Princeton AlumniCorps.  Ms. McCrory is also involved with a local area charter school on a pro bono basis.
