Two industries are areas of special focus at Venable:

1. Government Contractors.

We have represented government contractors in transactions totaling over $2 billion over the past three years. We represent some of the most familiar names in aerospace, defense and federal information technology, but our clients are often equally successful companies that have "graduated" from set-aside programs and face full-and-open competition and the need for greater capital.

Both buyers and sellers come to Venable for expertise in the defense industry and government contracting—from Federal Acquisition Regulation (FAR) and Small Business Administration (SBA) regulations to contract claims to security clearance issues. They come back to Venable because they have seen us apply our knowledge across the entire range of details that shape their deals.

Recent M&A transactions for government contractors include:

  • representation of a publicly traded provider of systems integration and professional services to the U.S. federal government in its $170 million acquisition of an engineering, intelligence operations and information technology services company, and its $30 million purchase of a software, training, simulation and information security solutions firm;
  • representation of a privately owned government consulting firm in its sale to a Denver-based private equity group;
  • representation of a publicly traded provider of technologies and solutions to the federal government in its $76 million acquisition of a secure information sharing and IT solutions provider to the federal government, and its $195 million purchase of a leading “C4ISR” contractor;
  • representation of a privately held aerospace contractor in its $100 million sale to a publicly traded provider of advanced weapon and space systems;
  • representation of a federal IT consulting services firm in its $53 million sale to an Atlanta-based private equity group; and
  • representation of a publicly traded IT solutions, consulting and professional services firm in its $250 million acquisition of a privately owned IT services contractor.

2. Financial Institutions.

We have represented a host of financial institution clients—including banks, bank-holding companies, thrifts, brokerage firms and investment banking firms, insurance companies and consumer identity management solutions providers—in numerous purchase and sale transactions. Our financial institution clients come to us for their M&A needs because of our in-depth banking, insurance and consumer regulatory and compliance knowledge and experience, as well as our extensive transactional experience and our reputation as a firm that is able to get both routine and complex deals done effectively and efficiently.

Recent M&A transactions for financial institution clients include:

  • representation of a full-service broker-dealer and investment banking firm in its sale to a Canadian banking firm;
  • representation of a publicly traded regional bank holding company in its $6 billion sale to a national bank holding company, and in its numerous acquisitions of regional banks and bank holding companies; and
  • representation of a publicly traded consumer identity management solutions provider in its $50 million acquisition of a privately held direct marketer of insurance and membership services products in the financial services industry, and its $14 million purchase of a corporate identity theft protection services firm.
