Patricia McGowan is a member of Venable’s Corporate Finance and Business Transactions group.

Ms. McGowan represents publicly and privately held companies, including many REITs, in mergers, spin-offs, restructurings, securities offerings and other financing transactions. She also represents companies in formation, sale and dissolution transactions.

Ms. McGowan regularly serves as counsel to the boards of directors and board committees of REITs and other major U.S. corporations in connection with significant transactions, stockholder litigation, conflicts of interest and corporate governance issues.

• Maryland counsel in more than a dozen initial public offerings
• Maryland counsel to a regional bank holding company in its approximately $3.3 billion acquisition of a regional bank, and in its receipt of approximately $1.3 billion in TARP funding
• Maryland counsel in the merger of two publicly-traded manufacturing and supply companies
• Maryland counsel in the spin-off of a publicly-traded consumer goods company
• Maryland counsel to a publicly-traded hotel management corporation in its divestiture of 28 hotels in an approximately $4.2 billion transaction
• Maryland counsel in the merger of two publicly-traded REITs, resulting in a company with an enterprise value of approximately $4.6 billion
