  • Represented an international software and consulting company in a carve-out asset sale to a major private equity group and the subsequent sale of remaining assets to a public company
  • Represented a veterinary dermatological products company and its affiliate in the sale of equity interests to a publicly traded pharmaceutical company based in the United Kingdom
  • Represented the U.S. Department of the Treasury in securities-exchange transactions with lending institutions capitalized under the Troubled Asset Relief Program (TARP)
  • Represented Marriott International, Inc. in a series of franchise agreement relicensing transactions relating to its domestic brand hotels
  • Represented a government contractor funding company in obtaining a multi-million dollar revolving loan secured by customer receivables
  • Represented the borrower in a significant music publishing transaction consisting of a multi-million dollar securities offering, a senior subordinated debt financing and a series of related refinancing transactions
  • Represented a mid-Atlantic concrete construction company in the sale of its assets to a national competitor
