Robert J. Bolger, Jr.

Robert Bolger represents clients in a wide range of business transactions, including mergers, acquisitions, private placements, joint ventures, liquidations, sales, and other matters. He has significant experience in providing tax and business planning advice for his clients with particular emphasis on direct response marketing and advertising companies, technology (including Internet and telecommunications), start-up corporations, and providing advice on all aspects of formation and capitalization.

Mr. Bolger has negotiated and brought to closing numerous business transactions for clients with worldwide interests. He is particularly effective in representing technology and other emerging growth clients and providing guidance to these clients in attaining their business goals in a cost-efficient and effective manner.

Significant Matters

Recent transactions include (1) representation of one of the world’s largest direct response marketing companies in all corporate and business transactions matters;  (2) representation of various emerging growth companies and venture capital firms in start-up and follow-on financing; (3) representation of a worldwide hospitality corporation, in which the client made a significant investment in a company acquiring one of the largest time-share resort service companies in the world; (4) sale of a national mortgage business of a publicly-held REIT to a subsidiary of a publicly-held utility; (5) various acquisitions, investments, and joint ventures (both domestic and international) involving marketing and advertising companies; and (6) representation of an international electronic components company in various acquisition and joint venture transactions.

Activities

Active in the community, Mr. Bolger serves on the Board of Living Classrooms of the National Capital Region.
