• Representing a software development company in a merger with a publicly-held technology company.
• Representing subordinated lenders in a variety of transactions, including subordinated debt restructuring transactions. These transactions have been secured and unsecured, with equity and without. The investments have been made by SBICs and private equity groups.
• Representing a buyer in the acquisition of a pharmaceutical business and related equity raise and debt refinancing.
• Representing an underwriter in connection with tax-exempt bond financing for capital projects.
• Representing, as lead counsel, a syndication of eight banks in a loan of up to $350 million to a leading consumer products company secured by domestic and international assets.
