Session 309 - Maximizing Impact through Corporate Philanthropy: Creating and Managing Corporate Foundations and Giving Programs

A panel of experts with experience representing nonprofit and for-profit entities will present strategic and legal considerations for setting up and managing corporate foundations and giving programs. Panelists will explore alternative financial structures companies are using for social impact investment (a topic of growing interest, particularly among millennials), compare and contrast strategies for corporate philanthropy, explain IRS private foundation rules and compliance considerations, share best practices for managing related entities and highlight considerations for making and monitoring corporate grants (e.g., avoiding self-dealing). Walk away with practical tips for maximizing companies' philanthropic impact through such entities and programs, while taking steps to minimize potential risks.

Many issues arise from the reality that in-house counsel serve as both lawyer to, and employee/officer of, the organizational client. As a result, questions abound: Who is the client? What is the corporate and attorney–client relationship among subsidiaries, parent or sister, and spun-off companies? How can client confidences be protected in the business setting? Explore and vote on a series of hypothetical situations such as conflicts among affiliated companies, maintaining client confidences, confidences and whistleblower actions, technology and cybersecurity concerns, and preventing and addressing corporate misconduct.

This interactive workshop will focus on risk management considerations when planning nonprofit events. After an introductory overview from the nonprofit experts, you will rotate every 15 to 20 minutes for guided discussions with your industry peers about such topics as negotiating event-related contracts; insurance and permit issues; health and safety issues such as alcohol, security and conduct; auction, give-away and charitable tax deductibility issues; and photo releases, waivers and social media.

The Health Insurance Portability and Accountability Act of 1996 is the data privacy and security law with which covered entities and their business associates must comply. While HIPAA clearly governs healthcare providers, it also affects every employer that offers health insurance benefits to its employees. The US Department of Health and Human Services Office of Civil Rights is actively enforcing HIPAA regulations, levying significant monetary penalties for noncompliance. This session will review HIPAA's data privacy and security requirements, identify the top 10 compliance challenges that covered entities and their business associates face in 2018 and offer strategies to minimize HIPAA violations in this high-risk environment.
