Our broad experience in healthcare transactional work has positioned us at the forefront of several significant transactions in recent years. Venable has represented multi-billion-dollar health companies in a variety of deals, including the following:

  • Represented a private equity firm in its $375 million purchase of the assets of the largest operator of continuing care retirement communities (CCRCs) in the United States. The deal involved complex workout negotiations with more than thirty lenders, as well as the nonprofit owners of each of the nineteen retirement communities
  • Completed three M&A transactions for one of the world's leading providers of transformational medical technologies on a variety of transactions. Examples include a joint venture with a leading semiconductor maker, as well as a global affiliation agreement with a wireless vital signs monitoring company
  • Represented a $5 billion Maryland academic health system in the acquisition of multiple community hospitals
  • Assisted a large hospital in closing the sale of substantially all of its assets to a large not-for-profit healthcare organization, which operates more than 120 entities, including ten hospitals in the Baltimore-Washington metropolitan area, and its affiliates
