Larry Gesner, Venable’s co-managing partner, is a business attorney who focuses primarily on structuring and negotiating complex financing transactions. Larry represents institutional clients, such as Fannie Mae, and regularly serves as counsel on transactions involving financing of pools of assets throughout the country. Larry works on projects related to many aspects of real estate transactions, including purchase and sale, development, and entity formation. He places a particular emphasis on multifamily projects and the creation of lending programs. He also has an active practice in corporate acquisitions and dispositions.

Fannie Mae matters

  • Assists Fannie Mae in securitizing multifamily loans purchased for cash
  • Represented the senior lenders in writing a troubled portfolio involving multiple layers of mezzanine financing
  • Represented Fannie Mae in the two largest multifamily transactions the organization has undertaken
  • Led the team representing Fannie Mae in purchasing loans made in connection with the privatization of a major real estate investment trust (REIT). The transaction, involving more than $7 billion, was secured by more than 100 properties. The second transaction, having a value of more than $3.5 billion, involved the purchase of loans from major financial institutions and was secured by 244 senior properties
  • Completed transactions involving the swap of more than $2 billion in Fannie Mae securities for loans secured for multifamily properties and, during the past three years, served as lead counsel on other transactions involving more than $6.0 billion in financing
  • Represented Fannie Mae in the change of ownership of Fannie Mae-approved Delegated Underwriting and Servicing (DUS) lenders

  • Structured and supervised commercial, retail, and multifamily loan programs on behalf of lenders
  • Represented a life insurance corporation in restructuring its investment in an office and retail project
  • Represented a multinational corporation in the divestiture of its non-core businesses
  • Represented a mezzanine lender for senior living and assisted living facilities
  • Represented a super-regional bank, as borrower, to avoid federal takeover of the institution
  • Represented a major law firm in negotiating an office lease for the firm's Washington, DC office
  • Represented a land owner in the sale of a Washington-area property to a foreign government
  • Serving as Washington, DC counsel to the trustee for the estate of one of the largest law firm bankruptcies in the United States
