Thomas W. France, a member of the firm's business transactions practice group, offers counsel on securities law issues and corporate transactions. The primary focus of his practice is on public and private offerings of equity and debt securities, mergers and acquisitions, corporate reorganizations, the formation of various business entities, compliance with the reporting obligations under the federal securities laws and general corporate matters. He has also represented issuers and venture funds in private equity financings. He received his B.A. from Oregon State University and his J.D. from Washington and Lee University School of Law. Mr. France is resident in Venable's Tyson's Corner, Virginia office.
Keith G. Haddaway practices all aspects of intellectual property law including counseling, portfolio management and strategic development, licensing, litigation, and preparation and prosecution of patent applications before the U.S. Patent and Trademark Office. Dr. Haddaway focuses on assisting clients in patenting, protecting and commercializing inventions in the areas of chemical and biotechnology products, medical devices, pharmaceuticals and coatings, as well as mechanical devices and business methods. He has also represented clients in interferences and appeals in the U.S. Patent and Trademark Office. Dr. Haddaway's litigation experience includes complex patent litigation involving multi-million dollar pharmaceutical compounds. He has also litigated patents in the optical disc industry. Dr. Haddaway received his B.S. from St. Mary's College of Maryland, his Ph.D. in Organic Chemistry from the University of Maryland, and his J.D. from George Washington University Law School. Dr. Haddaway is resident in the Washington, D.C. office.
Thora A. Johnson focuses her practice on employee benefits and tax-exempt organizations. She helps design and implement retirement, health and welfare plans and assists clients with their plans' ongoing regulatory compliance and administrative issues. Ms. Johnson also counsels clients in the establishment of comprehensive HIPAA medical privacy and security programs. In addition, her practice encompasses all aspects of representing tax-exempt organizations, including private foundations, public charities, and trade associations. She received her B.A. from Brown University, her M.A. from Middlebury College, and her J.D. from the University of Maryland School of Law. Ms. Johnson works from the firm's Baltimore, Maryland office.
Tamara McNulty, a member of the construction group, focuses her practice on complex commercial litigation, particularly in the areas of construction law, surety law, government contract law and litigation. She is an experienced litigator, representing owners/developers, contractors, subcontractors, architects and sureties in construction-related disputes. Ms. McNulty has tried cases in both state and federal courts as both first- and second-chair attorney. She has particular experience in construction law and its relationship to the law of suretyship in the construction industry. She recently wrote Virginia Construction Law, a book that covers topics such as licensing, state and local government procurement of construction services, claims and disputes, damages and remedies, bonds, liens, insurance and statutes of limitation, among others. She received her B.A. and J.D. from the University of Wisconsin. Ms. McNulty is based in the firm's Tysons Corner, Virginia office.
Daniel P. Moylan focuses his practice in complex commercial and construction litigation, and insurance coverage analysis. He has extensive experience in dispute resolution, including corporate dissolutions and deadlocks. His insurance coverage work concentrates on the review and analysis of his commercial clients' policies that may cover the litigation he is retained to defend or prosecute. He received his B.A. from the University of Richmond and his J.D., cum laude, from the University of Maryland. Mr. Moylan is resident in Venable's Towson, Maryland office.
Jeanne L. Newlon is a member of Venable's tax and wealth planning practice group. She provides advice to clients to ensure the proper disposition of assets in accordance with the client's objectives, while employing tax planning techniques such as the use of irrevocable and revocable trusts, life insurance planning, lifetime gifts, and charitable trusts to minimize estate and gift tax liability. Ms. Newlon also has experience in the administration of decedents' estates. She received her B.S.B.A. from the University of Florida, her J.D. from The George Washington University Law School and her LL.M. from Georgetown University. Ms. Newlon is based in the firm's Washington, D.C. office.
Dana C. Nifosi counsels public and private entities on environmental, transportation and land use matters. Ms. Nifosi has extensive experience with legal, financial and political issues relating to complex transportation and development projects, including transit facilities, airports and telecommunications facilities. Ms. Nifosi also has significant civil and criminal litigation experience involving environmental, land use and project finance issues relating to transportation infrastructure development. She received a B.A. from Tufts University and a J.D. from The George Washington University Law School. Ms. Nifosi is resident in Venable's Tysons Corner, Virginia office.
Lowell Rothschild provides advice to corporate, institutional, and governmental clients on federal and state environmental, health and safety issues. His practice covers the full range of these issues, including wetlands, environmental review, endangered species, water, hazardous and solid waste, OSHA, indoor air, storage tank, land development, and agricultural chemical laws. Mr. Rothschild's practice involves both litigation and compliance work, including counseling, permitting, rulemaking and negotiating. He received a B.A. from the University of Virginia and a J.D. from the University of Minnesota. Mr. Rothschild works in the firm's Washington, D.C. office.
Randolph Stuart Sergent has litigated in a broad range of subject areas and litigation fora. In addition to commercial civil litigation, Mr. Sergent has experience in insurance regulatory matters, intellectual property, tort, products liability, and labor and employment litigation. Mr. Sergent has litigated cases in both the state and federal trial courts, as well as in administrative proceedings and by means of private dispute resolution. Jagpreet Singh is a member of the firm's business transactions practice group with a practice focused on mergers and acquisitions, general corporate and commercial representation, corporate finance and corporate investigations. Mr. Singh counsels clients in all aspects of corporate activity and a variety of business transactions. His recent work includes representing buyers and sellers in stock and asset purchase transactions; advising new companies on organizational matters, capital structure, corporate governance, shareholder- and employment-related issues, and tax and financial matters; and assisting start-up clients with private offerings and capital formation. Melissa Landau Steinman practices primarily in the areas of antitrust, advertising and marketing, trade regulation, unfair competition, consumer protection and general commercial law, litigating cases and counseling clients on matters that arise from these business concerns. She is uniquely familiar with the technology and retail industries, and has also worked extensively with trade associations. Ms. Steinman has focused on assisting companies at every stage of distributing their products, counseling them on marketing their products, setting up distribution networks, pricing, warranties, product safety, protection of intellectual property and other matters. She has also represented clients in both private and government litigation, and has extensive experience handling federal and state government investigations. Ms. Steinman has developed a unique practice in promotional contests and Internet gaming law, and has vetted, registered and bonded sweepstakes and contests for some of the nation's largest consumer products and services companies. Damon W. D. Wright focuses his practice on complex commercial, unfair competition, and white-collar criminal litigation, as well as appellate litigation. Over the last several years, he has successfully tried cases in the U.S. District Court for the Eastern District of Virginia, U.S. Bankruptcy Court for the Eastern District of Virginia, U.S. District Court for the Southern District of New York, Virginia Circuit Court and D.C. Superior Court. Through discovery and effective motions practice in other jurisdictions, Mr. Wright has also won or favorably resolved cases involving RICO, securities fraud, common law fraud, conversion, contract, professional malpractice, intellectual property, civil rights, and consumer protection claims. His recent work includes a successful jury trial in a federal securities fraud case, favorable settlement of litigation involving complex tax shelters, permanent injunction and dismissal of a NASD proceeding, and preliminary injunction and favorable settlement of a trade secret and trademark infringement case. He received his B.S. from James Madison University and his J.D. from George Mason University. Mr. Wright is based in Venable's Washington, D.C. office.
