Venable represents American Realty Capital Properties, Inc. in connection with acquisition of Cole Credit Property Trust, Inc.

Venable represented American Realty Capital Properties, Inc. (“ARCP”) in connection with its recent acquisition of Cole Credit Property Trust, Inc. (“CCPT”). The transaction included a tender offer for all of the outstanding shares of CCPT common stock, which resulted in the acquisition by ARCP of approximately 77% of CCPT’s shares, followed by the exercise of a top-up option by a wholly owned subsidiary of ARCP pursuant to which ARCP acquired more than 90% of the outstanding shares of CCPT. ARCP then completed its acquisition of CCPT through a short-form merger. The acquisition added 39 properties to ARCP’s portfolio. The transaction closed on May 20, 2014.
