Anne K. Gerson


Anne Gerson is counsel in Venable's Nonprofit Organizations Practice Group. She focuses her practice on representing nonprofit organizations, including public charities, private foundations, religious organizations, trade associations, educational organizations, arts organizations, social clubs, and other nonprofits. She counsels clients on such federal tax issues as domestic and international grant-making, self-dealing and excess benefit transactions, obtaining and maintaining exempt status, unrelated business income tax, excess business holdings, program-related investments, lobbying and political activity, IRS audits, state law issues, contracts, intellectual property, and corporate governance matters, among others.

In 2015, Anne received the Outstanding Young Nonprofit Lawyer Award from the American Bar Association, Business Law Section, Nonprofit Organizations Committee.

Significant Matters

  • Represented an international religious organization in corporate governance overhaul and crisis management.
  • Advised a New York education corporation that operates a preschool and elementary school on obtaining financing for facility expansion.
  • Regularly advises public charities on reviews and assessments of restricted funds and options for modifying the restrictions under state laws.
