Erin E. Segreti

Erin Segreti is a transactional business attorney with a practice focusing on mergers and acquisitions, joint ventures, and related transactions involving corporations, partnerships and limited liability companies. She counsels for-profit and not-for-profit clients in a wide range of industries on their day-to-day and long-term business issues and transactions, including entity formation decisions, governance issues, and key employee incentive compensation arrangements. 

Erin also advises and assists clients with the drafting and negotiation of business and commercial contracts, including purchase agreements, joint venture agreements, operating agreements, stockholder agreements, non-disclosure agreements, and management agreements.

Erin has represented one of the country's leading infrastructure development firms in establishing public/private partnerships with government entities for the development of major infrastructure projects throughout the U.S., financed with private, rather than public, funds.

Erin's recent matters include the following:
  • The representation of a government contractor in its acquisition of another government contractor.
  • The representation of the borrower in a significant music publishing transaction consisting of a multi-million-dollar securities offering, a senior subordinated debt financing and a series of related refinancing transactions.
  • The representation of a private equity firm in an acquisition, through its holding company, of two government contracting firms.
  • The representation of two government contractors in connection with the sale of their equity securities to an affiliate of a private-equity firm.
  • The representation of the stockholders of a New England based bank holding company in connection with its sale to private equity investors.
