  • Counseled a private equity sponsor in its $4.5 billion cross-border take-private acquisition of a global payments and lending technology provider
  • Represented a private equity sponsor in its $1.2 billion acquisition of a global flexible packaging company
  • Represented Independent Practice Association, consisting of eighty-five physicians, in its $30 million acquisition by Optum, a division of UnitedHealth Group
  • Counseled a private equity sponsor in its $50 million acquisition of a private software company
  • Represented a private equity sponsor in its $40 million acquisition of a domestic software company. This transaction won "Europe Deal of the Year" at the 9th Annual International M&A Awards gala in New York City

Joint Ventures

  • Represented a domestic private software company in its cross-border joint venture with various health-tech partners in London and Australia
  • Counseled a real estate development company in its $120 million joint venture with J.P. Morgan for the construction of a 300+ unit apartment building


  • Advised a domestic technology company in co-developing, licensing, and commercializing certain intellectual property (including trade secret formulas and trademarks) with various international partners
  • Advised a nutritional supplement company in co-developing, manufacturing, packaging, distributing, importing, and exporting certain CBD-infused health products and related licensing opportunities
  • Represented a pharmaceutical company in negotiating an API supply agreement with a domestic cannabis/CBD supplier, including the related specifications and quality agreement, and representations, warranties, and covenants regarding new drug applications and related regulatory logistics

  • Counseled private equity sponsors in connection with several deals, including a $4.5 billion cross-border multi-tranche financing, a $1.2 billion domestic multi-tranche financing, and a $300 million syndicated financing
