Ed O'Toole is a member of the firm's managing board and previously served as the partner-in-charge of the New York office. He has decades of experience litigating transactional, governance, technology, employment, insurance, financial services, and consumer protection disputes. Ed has developed an in-depth understanding of the practical issues facing companies involved in lawsuits in U.S. state and federal courts, arbitrations, and in cross-border proceedings. He is equally conversant in state, federal, and international proceedings, whether in court cases, arbitration, or mediation engagements.

  • Representing a "David" against a "Goliath" in a multi-million-dollar communications services dispute 
  • Representing an international art foundation in an ownership and governance dispute with a development partner
  • Representing a systems and engineering company in a lawsuit related to a corporate disposition
  • Represented monoline insurers involved in disputes with a unit of a large money-center bank concerning representations and warranties that were made concerning the issuance of residential mortgage-backed securities (RMBS)
  • Represented several law schools in putative class actions brought by former law students who claimed to have been misled about their postgraduate employment options
  • Represented institutional investors in a securities-related action against an RMBS issuer
  • Represented a consulting firm in a trial over the terms of a "business divorce"
  • Represented a hedge fund in litigation concerning the rights and obligations of a departing member
  • Represented a private equity firm in claims related to breach of contract and breach of fiduciary duty
  • Represented a domestic coal company, an international chemical manufacturer, a consumer products conglomerate, an architectural firm, and a French cosmetics distributor in separate complex breach of contract matters
  • Represented two departing corporate officers in a derivative action brought against the officers and the board of directors
