It is increasingly important for nonprofit, tax-exempt entities to move beyond the basics of compliance and governance to develop greater sophistication in how the board and management work together to administer all aspects of the organization’s executive compensation program. The consequences of providing executives with excessive compensation or benefits can include adverse public perception (particularly with an increasingly public and ever-expansive IRS Form 990), revocation of tax-exempt status, substantial monetary penalties on the executives and insiders who receive (and approve) excess benefit transactions, unwanted enforcement actions by state Attorneys General, and scrutiny and criticism by those on the opposite side of your organization’s issues. But providing too little compensation may not attract and retain the level of talent and experience that an organization needs to grow to its full potential and effectively carry out its nonprofit mission.

This program features a panel comprised of some of the country’s leading professionals in nonprofit executive compensation—from the legal and tax side, the compensation consulting side, and the executive search side—who will walk you through the top ten current traps and trends in this area. This interactive discussion will address these and other issues:

  • The risks of both over- and under-compensating nonprofit executives
  • Effective governance models in compensation determination
  • Strategies for advising the board and management and the role of outside advisers
  • How to comply with federal and state regulatory requirements
  • The role of compensation studies and comparability analyses
  • Common pitfalls and best practices in compensation benchmarking
  • Combining the executive search process with compensation determinations
  • Various ways to address compensation in the executive employment contract
  • How best to present compensation information in audited financial statements and the IRS Form 990
  • Private inurement and intermediate sanctions
  • Incentive compensation—examples, how to structure, and what types of provisions will generally increase the risk of IRS scrutiny
  • The appropriate treatment of certain employee benefits as taxable income
  • Where and how to effectively focus your organization’s efforts in this area

This distinguished panel of seasoned practitioners will draw from their knowledge and extensive experience to give you the practical tips and suggestions you need to keep your nonprofit—and its executives—out of hot water, attract and retain the best talent possible, reward your executives for exceptional performance, and help your organization most effectively further its mission.
