Arif Soto is a capital markets attorney specializing in capital-raising transactions, general corporate and securities matters, corporate governance, stock exchange listings, and federal and state securities law compliance. Arif's experience includes representing both issuers and underwriters in public and private corporate finance transactions, including traditional initial public offerings (IPOs) and IPOs of special purpose acquisition companies (SPACs), De-SPAC transactions, shelf registrations, at-the-market offerings, registered direct transactions, private placements, private investments in public equity (PIPEs), and other offerings of securities.

In addition to his transactional work, Arif also counsels public company clients on Securities Act compliance and ongoing Exchange Act reporting obligations, stock exchange rules, and other public company compliance matters, and regularly prepares and reviews disclosure documents for filing with the U.S. Securities and Exchange Commission (SEC).
