Maryland counsel to Sabra Healthcare REIT, Inc. ("Sabra") in connection with the signing of a definitive merger agreement between Sabra and Care Capital Properties, Inc. ("Care") resulting in Sabra being the surviving company following the merger, which is an all-stock transaction resulting in a combined company with an estimated pro forma total market capitalization of approximately $7.4 billion and an equity market capitalization of approximately $4.3 billion.
