Venable’s Government Contractor Services Group reports that it has successfully closed a number of significant transactions forgovernment contractors in the second half of 2005. Among these most recent engagements is Venable’s representation of Anteon International Corporation (NYSE: ANT) in its acquisition of Milestone Group, LLC, a privately held provider of IT services to U.S. government clients. Anteon is a leading systems integration company providing mission, operational and IT enterprise support to the U.S. government with more than 9,000 employees in more than 100 offices worldwide.
Venable also recently represented Science Applications International Corporation (SAIC) in its acquisition of substantially all the assets of iMAPS, LLC, a provider of geographic information systems and other key navigation software to government and commercial customers. SAIC is the largest employee-owned research and engineering company in the United States, with annual revenues of $7.2 billion and more than 43,000 employees in over 150 cities worldwide. Anteon and SAIC announced their transactions earlier this month.
Venable established its formal Government Contractor Services Group earlier this year to provide its government contractor clients with a broad range of counsel across 17 different legal disciplines. The practice advises on everything from procurement and bid protests to litigation, mergers and acquisitions and the Davis-Bacon Act. On the corporate side, the group has been active in a number of complex transactions impacting the federal government marketplace, including deals involving both privately-held and publicly-traded companies. The practice is led by corporate M&A partner Joseph Schmelter, along with John Pavlick and J. Scott Hommer, III, two experienced government contracts partners.
