The Maryland Judiciary was active in 2011. There were judicial opinions exposing directors to greater potential liability under the common law as well as affirming companies’ ability to protect them in charters. Maryland courts gave greater clarity on issues affecting business owners’ ability to shield themselves from personal liability, to contract around unfavorable law, and to enforce the plain language of contracts. This program will examine significant developments and trends in Maryland law wrought by the judiciary in the past year. It is intended to help practitioners remain up to date on business law issues affecting corporate governance, contracting, tort liability, and business planning.
