"M&A Purchase Price Adjustment Clauses" for Strafford

Bryan Rakes presented on a Strafford CLE panel entitled "M&A Purchase Price Adjustment Clauses" on March 7. The panel provided deal counsel with a review of the benefits and importance of structuring purchase price adjustment provisions in acquisition agreements. The panel also reviewed key issues to consider and offered approaches for drafting the purchase price adjustment terms. Other members of the panel were Mike Pedone, Vice President & Deputy General Counsel, Redwood Capital Investments, and Matt Roberson, Senior Vice President, SC&H Capital.
