Simply put, healthcare is one of the most highly regulated industries in the United States because it impacts human life. Practically every healthcare business that becomes the subject (the “Target”) of a transaction will have a government permit (a “Permit”) that requires some action with the applicable government agency (the “Agency”). Permits are often a license, certificate of need, provider number, approval, authorization, order, certification, or such other permit or filing with an Agency that is required for the operation of a healthcare business.
