Jeffrey M. Keehn


Jeff Keehn is a member of Venable's Corporate group.  His practice focuses on a wide range of corporate law matters, including corporate governance, securities transactions, corporate finance and mergers and acquisitions, with a particular focus on Maryland corporation law as it relates to real estate investment trusts (REITs) and registered investment companies.

  • Independent counsel to special committees of the boards of directors of several publicly-traded companies in their consideration and negotiation of strategic alternatives
  • Maryland counsel to a REIT in connection with its $200 million initial public offering and $150 million and $180 million follow-on offerings
  • Maryland counsel to several open-end mutual fund complexes in connection with reorganizations and issues related to Maryland law
  • Maryland counsel to a privately-held marketing technology firm in a preferred stock offering of $75 million
  • Maryland counsel to several REITs in connection with at-the-market offerings
