Lauren Fields

Lauren Fields advises clients on complex corporate matters, including corporate governance and investment fund formation. Lauren brings experience in bankruptcy law and mergers and acquisitions to the Corporate Practice Group. Prior to joining Venable, she worked as a law clerk for Chief Judge Mary Ellen Barbera of the Supreme Court (formerly known as the Court of Appeals) of Maryland, where she prepared judicial opinions and bench memoranda on a variety of business, criminal and civil procedure related matters.

Lauren earned a business law certification from the University of Maryland School of Law. During law school, she also interned for Chief Judge Nancy Alquist of the United States Bankruptcy Court for the District of Maryland and worked as a summer law clerk at the Maryland Office of Administrative Hearings.

  • Represented a leading investment company in its acquisition of the largest retailer of propane and heating distillates in New England for a purchase price of $500 million
  •  Represented the special committee of the board of directors of a leading U.S. externally managed real estate investment trust (REIT) that originates, invests in, and manages loans, securities, and assets secured by commercial real estate nationwide, in a stock-for-stock merger yielding increased financing efficiencies, scale, and diversification of the combined company’s portfolio
  • Acted as Maryland counsel for a carrier-neutral data center that provides colocation and peering services, in the board’s consideration of strategic alternatives, resulting in an acquisition of the company for consideration of approximately $10.1 billion 
  • Represented a leading technology-enabled, data-driven customer experience management company in its execution of a purchase agreement to acquire the stock of an award-winning global customer experience and commerce agency, along with its affiliated operations in parts of Europe and Asia
  • Represented a REIT in a de-SPAC merger with one of the largest institutional-quality, mobility-focused parking asset owners in the United States, resulting in the public listing of the common stock of the REIT on the New York Stock Exchange (NYSE) American
