Gabe Steele represents public and private companies in connection with securities law matters, major strategic transactions, corporate governance, capital markets transactions and private financings. He regularly advises clients on mergers, proxy contests, tender offers, stock offerings and periodic Securities and Exchange Commission (SEC) reporting obligations. He advises corporate insiders on SEC reporting obligations and compliance with insider trading laws. Gabe also focuses on Maryland corporate law as it relates to real estate investment trusts and other entities.

While in law school, Gabe served as a judicial intern to The Honorable Glenn T. Harrell, Jr. of the Court of Appeals of Maryland. He was the recipient of the Bridgewater M. Arnold Prize for Commercial Law and graduated summa cum laude.

Representative Matters

  • Represented Nasdaq listed software distribution company in successful defense of hostile proxy contest (resulting in no Board member being replaced).
  • Represented founder of a Nasdaq listed wireless communications products supplier in a successful proxy contest that resulted in the removal of three incumbent directors and the election of two nominees designated by the founder.
  • Maryland counsel to Chambers Street Properties in connection with a stock for stock merger with Gramercy Properties Trust Inc. The merger created the largest industrial and office net lease REIT, with an enterprise value of approximately $5.8 billion.
  • Maryland counsel to Inland Real Estate Corporation in connection with its acquisition by real estate funds managed by DRA Advisors LLC, in a transaction valued at approximately $2.3 billion.
  • Maryland counsel to Inland American Real Estate Trust, Inc. in connection with its spin-off and NYSE listing of Xenia Hotels & Resorts, Inc.
  • Maryland counsel to a REIT in connection with its $200 million initial public offering.
  • Counsel to the special committee of the board of directors of a REIT.
  • Securities counsel to a REIT in connection with an initial public offering and related exchange listing.
  • Representation of numerous privately owned companies in connection with angel- and venture-backed private placement transactions.
