All nonprofits utilize technology solutions, such as software, databases, and related services, to conduct business and help manage operations. These technology solutions generally are provided by third parties and require negotiation and adherence to a variety of service contracts and license terms. In this program, we will address important considerations for negotiating and entering into these contracts and licenses, namely, understanding different types of license grants, managing use of nonprofit data, addressing information security, dealing with electronic contracts, addressing future performance issues and problems, what happens when the relationship terminates, and handling other legal risks related to the use of third-party technology solutions. We will focus—in a very practical way—on several key areas, with a special emphasis on how these issues play out uniquely in the nonprofit community:

  • Contracting for cloud-based solutions and services
  • Understanding the key differences between traditional software arrangements and license-based services
  • Addressing service, software, and data availability, escrow, and recovery
  • Securing necessary data protection(s)
  • Understanding electronic contracts—weighing pre-contract considerations, forming and executing contracts online, and managing changes through ancillary documentation
