On December 31, 2010, Venable assisted CareFirst Blue Cross Blue Shield in closing a $500m internal reorganization. Venable's representation of CareFirst included advice to the board of directors and the board of trustees of the parent corporations, assistance to independent valuators with respect to applicable insurance laws, drafting various agreements, including operating agreements, intercompany agreements, contribution agreements and administrative services agreements, and the formation of, and mergers of subsidiary corporations into, limited liability companies and dissolution of a subsidiary corporation.
