Orange County, CA (Oct. 1, 2026) -- Venable LLP represented Guardrails AI, Inc., a San Francisco-based AI security company, in a strategic transaction with Harvey AI Corporation, a leading provider of artificial intelligence solutions for the legal and professional services industries.
The transaction brings Guardrails’ expertise in AI reliability, simulation, and agent safety to Harvey as the company continues to advance its agentic AI capabilities. As part of the transaction, Guardrails co-founders Shreya Rajpal and Zayd Simjee, along with other members of the Guardrails team, joined Harvey’s product and engineering organization.
“Guardrails has built innovative technology that addresses one of the most important challenges facing companies deploying AI, ensuring that increasingly sophisticated agents operate safely, reliably, and as intended,” said Kaitlin Kines, a partner in Venable’s Corporate Practice. “We were pleased to advise the Guardrails team on this strategic transaction and support the company as its technology and expertise become part of Harvey’s continued development of agentic AI.”
Guardrails develops infrastructure designed to help organizations test, evaluate, and monitor AI agents, identify deviations from intended behavior, and manage agent risk in real time. Its technology includes an open-source guardrails framework and Snowglobe, a simulation environment that enables organizations to stress-test agent behavior and identify potential failure modes before deployment.
The addition of the Guardrails team and its expertise in specifying, simulating, and evaluating AI agent behavior will support Harvey’s continued development of safe and reliable agentic AI for legal and other professional services.
Venable’s deal team was led by Kaitlin Kines, with Ted Keim, Mike Schiffer, and Justin Meltzer advising on corporate and M&A matters and Harry Atlas advising on employee benefits matters.
