Anthony J. Rosso

Partner

Anthony Rosso is a partner in Venable's Corporate Practice Group focusing the majority of his time working on mergers, acquisitions and divestitures (M&A transactions). Anthony utilizes the experience he gained working at KPMG LLP as a certified public accountant for more than five years prior to starting his legal career to assist clients on complex and challenging domestic and cross-border M&A transactions. He is instrumental in helping clients achieve their goals by structuring transactions at the outset in the most tax-efficient manner. He has a laser focus on the matters that are most significant to his clients. Anthony has developed a team of trusted partners and associates at Venable to support him on M&A transactions and has great project management skills but he remains the primary contact for his clients and actively involved in every phase of a transaction.

During the three year period ending on December 31, 2016, Anthony represented public and private companies, closely held business owners and entrepreneurs on more than 35 completed M&A transactions. He has represented clients on M&A transactions in a wide variety of industries including digital media, data analytics and marketing, business and technology services, food and agricultural products and services, consumer products and services, laboratory testing, inspection and certification services, instrumentation and controls solutions, veterinary pharmaceuticals, engineering services, cybersecurity, healthcare, staffing services and social and mobile casino-themed games. Anthony generally works on transactions in the middle market with average transaction values in the $25 million to $100 million range with the largest of transactions capping out near $1 billion but he has consistently been very effective working on transactions for closely held business owners and entrepreneurs starting in the low seven figures.

Anthony routinely receives referrals from investment bankers, commercial bankers, CPAs, investment advisers and other professionals to assist their valued clients with mergers, acquisitions, divestitures, joint ventures, equity and debt financings and corporate restructurings based on his expertise, CPA background, attention to superior client service, project management skills, laser focus on achieving a client’s goals and ability to close transactions on time and within budget.

In addition to his thriving M&A practice, Anthony regularly represents a large number of emerging growth and closely held companies focused in a variety of industries including technology, cybersecurity, digital media, data and analytics, government contracts, healthcare and change management consulting. He has worked on equity and debt financings, joint ventures, corporate restructurings, commercial contracts and general corporate law matters for these clients. Anthony also serves as outside corporate counsel for many of these and other public and private company clients who rely on Anthony to solve their problems utilizing the support of his colleagues at Venable who have other subject matter areas of expertise including litigation, employment, government contracts, intellectual property, antitrust, international trade and export controls, privacy and data security and healthcare.

Activities

Anthony has been an active and long-time participant on a number of non-profit Boards including the American Heart Association, PACT: Helping Children with Special Needs and St. Louis Roman Catholic Church Finance Council. Anthony has participated on the Executive Leadership teams with other community and business leaders for nearly a decade for signature events held by the American Heart Association. He is also actively involved with Choo Smith Youth Empowerment. In 2008, the Maryland Volunteer Lawyers Service inducted Anthony as a member of its Leadership Circle, in recognition of the significant support he provided to the organization for many years. He is a graduate of the Greater Baltimore Committee's Leadership Class of 2008.
