    Venable has one of the leading healthcare practices in the United States. Our nationally ranked practice and many of its attorneys have been recognized as leaders in the field by Chambers USA: America's Leading Lawyers for Business; Best Lawyers in America; and Nightingale's Healthcare News. With more than 40 years of experience and 50 attorneys with comprehensive healthcare and regulatory experience, we have been trusted advisors to healthcare professionals adapting to the new regulatory landscape. We represent a broad range of clients in complex M&A transactions. Our clients include hospitals and hospital systems, insurance companies, physicians, physician groups, and continuing care facilities, as well as nonprofit organizations and academic teaching hospitals and systems.

    Our broad experience in healthcare transactional work has positioned us at the forefront of several significant transactions in recent years. Venable has represented multi-billion dollar health companies in a variety of deals, including the following:

    • Represented a private equity firm in its $375 million purchase of the assets of the largest operator of continuing care retirement communities (CCRCs) in the United States. The deal involved complex workout negotiations with over thirty (30) lenders, as well as the non-profit owners of each of the nineteen (19) retirement communities;
    • Completed three M&A transactions for one of the world's leading providers of transformational medical technologies on a variety of transactions. Examples include a joint venture with a leading semiconductor maker, as well as a global affiliation agreement with a wireless vital signs monitoring company;
    • Represented a $5 billion Maryland academic health system in the acquisition of multiple community hospitals; and
    • Assisted a large hospital in closing the sale of substantially all of its assets to a large not-for-profit healthcare organization, which operates more than 120 entities, including ten hospitals in the Baltimore-Washington metropolitan area, and its affiliates.

    Venable attorneys share a wealth of experience in helping businesses thrive in a highly regulated environment. As a firm headquartered in Washington, DC, we have a large number of attorneys who were former lawmakers and regulators; they bring the value of this significant regulatory expertise together with our deep bench in business transactions. Operating at the nexus of the private and public sector, our team is able to design effective strategies and solutions and advise our clients in a way that ensures the client remains a viable business while maintaining regulatory compliance and providing quality healthcare services.
