Healthcare: Mergers and Acquisitions

Our M&A attorneys have wide-ranging experience guiding healthcare industry clients through each phase of a transaction while prioritizing their unique needs.

We advise on a full range of matters, including the structuring and execution of acquisitions, divestitures, mergers, restructurings, and approaches to other strategic business objectives.

On the sell side, we prepare clients for successful transactions before going to market. And on the buy side, we are mindful that due diligence, risk allocation, integration planning, and execution often are as critical to deal success as good deal terms.

Where a potential M&A deal requires specialized knowledge of certain healthcare regulatory or operational issues—like corporate practice or fee-splitting prohibitions, Medicare Advantage risk adjustment diagnosis coding and reimbursement practices, physician compensation structures, or licensure and federal healthcare program participation compliance—to evaluate potential deal risks, our team has the skills to assess risk against current and anticipated enforcement trends and counsel on potential protections.

Our broad experience in healthcare transactional work has positioned us at the forefront of several significant transactions in recent years. Venable has represented multi-billion-dollar health companies in a variety of deals, including the following:

  • Represented a private equity firm in its $375 million purchase of the assets of the largest operator of continuing care retirement communities (CCRCs) in the United States. The deal involved complex workout negotiations with more than thirty lenders, as well as the nonprofit owners of each of the nineteen retirement communities
  • Completed three M&A transactions for one of the world's leading providers of transformational medical technologies on a variety of transactions. Examples include a joint venture with a leading semiconductor maker, as well as a global affiliation agreement with a wireless vital signs monitoring company
  • Represented a $5 billion Maryland academic health system in the acquisition of multiple community hospitals
  • Assisted a large hospital in closing the sale of substantially all of its assets to a large not-for-profit healthcare organization, which operates more than 120 entities, including ten hospitals in the Baltimore-Washington metropolitan area, and its affiliates
