It is increasingly important – from the standpoint of legal compliance and public perception – for tax-exempt entities to move beyond the basics of compliance and governance and to develop greater sophistication in how the board and management work together to administer all aspects of the organization’s executive compensation program. The consequences of providing executives with excessive compensation or benefits can include adverse public perception, revocation of tax-exempt status, and substantial monetary penalties on the executives and insiders who receive (and approve) excess benefit transactions.
