Alexander M. Belman

Associate

Alex Belman focuses his practice on commercial real estate matters, including commercial acquisitions, dispositions, leasing, and development. Alex has experience drafting and negotiating purchase and sale agreements and other documents incidental to real estate transactions, and reviewing and analyzing real estate due diligence materials, such as title commitments, ALTA surveys, and zoning reports. He also has experience working on real estate aspects of M&A transactions and completing subdivisions.

Alex also enjoys assisting pro bono clients in a variety of real estate and non-real estate matters.

During law school, Alex worked as a research assistant to two professors, conducting research and writing detailed memos focusing on water law in various jurisdictions and on Maryland agricultural law. Alex also worked as a summer associate at Venable, where he researched and wrote memos on corporate, litigation, and pro bono matters.

Experience

Representative Matters

  • Represented a real estate investment management firm in separate $90 million, $100 million, and $100 million acquisitions of apartment complexes in Florida. All three matters included negotiating the purchase and sale agreement and ancillary documents, reviewing and analyzing the real estate due diligence materials, and communicating with opposing counsel and the title company to achieve a successful closing
  • Represented a private investment firm in multiple acquisitions of restaurant portfolios throughout Florida and Alabama. The representation included reviewing and analyzing due diligence documents and leases, managing the closing checklist, and drafting documents ancillary to the purchase and sale agreement
  • Represented a private investment firm in the subdivision of a shopping center with four tenants from one parcel into four parcels. Key responsibilities included (i) reviewing and analyzing the leases to confirm the subdivision was not prohibited, (ii) drafting and negotiating a declaration covering the four lots, (iii) responding to inquiries from the municipality about the subdivision, and (iv) drafting lease amendments reflecting the subdivision
  • Represented a company in the acquisition and financing of several car, truck, and heavy equipment dealerships and service facilities. Key responsibilities included (i) negotiating the purchase agreement, (ii) negotiating and drafting an amendment to the existing credit facility to allow for delayed draw real estate loans, (iii) drafting and negotiating the ancillary acquisition and financing documents, (iv) reviewing and analyzing the real estate due diligence materials, and (v) achieving a successful closing by collaborating with opposing counsel and other third parties
  • Represented a startup company to sublease office space in San Francisco. Key responsibilities included (i) reviewing and analyzing the prime lease and (ii) drafting and negotiating the sublease with opposing counsel
