Elizabeth’s M&A experience spans stock and asset acquisitions, dispositions, roll-up transactions, minority investments, and joint ventures. She has experience across a variety of industries, including healthcare, technology, consumer products, and other regulated sectors. Elizabeth also advises on related commercial contracts and entity formation and structuring.
Elizabeth has experience representing both lenders and borrowers in connection with senior secured financings, refinancings, and other credit transactions. Her work includes advising banks and other financial institutions on loan facilities and collateral structures, as well as representing borrowers in financings and refinancings.
Elizabeth also works with Venable’s Private Wealth Management Group to support family offices and high-net-worth individuals in connection with corporate transactions. These include portfolio company acquisitions, restructurings, financings, and governance matters. She often acts as a bridge between corporate, tax, and estate planning considerations, helping align transaction execution with long-term ownership and succession goals.
Earlier in her career, Elizabeth played a significant role in advising stakeholders in highly regulated industries, including as one of the early lawyers representing participants in the cannabis industry while the legal and regulatory framework developed. She continues to represent public cannabis companies and major regional operators, as well as clients in other regulated sectors, drawing on that background to navigate complex regulatory overlays in corporate and financing transactions.
Prior to joining Venable, Elizabeth served as in-house transactional counsel for a multi-state holding company, where she led and supported a broad range of acquisitions, financings, and real estate transactions nationwide. That experience informs her practical, solutions-oriented approach and her ability to advise clients with an operator’s perspective.
