William Rice

Will Rice focuses his practice on real estate and business planning matters. Representing clients across the country in a broad array of commercial real estate transactions, Will offers counsel regarding all types of property, including residential, commercial, office, and mixed-use development projects. He has drafted sale, acquisition, loan, and refinancing documents for nearly $3 billion in commercial transactions, coordinating closings with seamless communication between all parties. Will also has experience advising clients on business formation, registration, and compliance.

Prior to joining Venable, Will was an associate attorney in a commercial real estate law firm in Baltimore, where he drafted primary and ancillary deal documents, negotiated with businesses and lenders to facilitate transactions, and conducted due diligence review of real estate agreements, title and survey matters, and land records.

  • Represented one of the world’s largest investment management firms in a $149,000,000 joint-venture acquisition of a trophy research and development facility in San Diego, California
  • Represented one of the world’s largest investment management firms in a $80,500,000 purchase of two biotech facilities in Fremont, California
  • Represented a private equity company in a $25,000,000 refinancing
  • Represented a prominent international toy manufacturer in the acquisition of nearly $30,000,000 worth of real property in California, Minnesota, and Arkansas
  • Represented a national affordable housing developer in the preliminary phases of ground-up development projects in Baltimore County, Howard County, and Anne Arundel County, Maryland
  • Represented one of the largest home builders in the United States in multiple land acquisition projects
  • Represented a Las Vegas-based shopping center owner in multiple sublease negotiations
