Salguero Carlos

Carlos Salguero is an experienced commercial and appellate litigator who represents clients across a variety of sectors, including finance and investment banking, global hotel and hospitality brands, media and entertainment, and multinational insurance brokerages. Carlos represents clients on both sides of disputes, guiding them to favorable outcomes through negotiation, litigation, and appeal. Carlos's practice covers complex contract disputes, business torts and divorces, corporate governance disputes, securities defense, and Section 1983 litigation. He has authored briefs addressing sports gambling and commodities trading, as well as administrative review and veteran’s benefits.

Carlos also maintains a pro bono federal criminal defense practice. As a Criminal Justice Act mentee attorney, he represents indigent clients through every stage of the criminal case, from bail to sentencing, in the Southern and Eastern Districts of New York.

Carlos draws on his experience working for four federal trial judges, including as an inaugural clerk to a district judge in the Eastern District of New York. He has helped oversee countless settlement conferences and numerous civil trials.

Litigation

  • Advised a blue chip investment bank in a $50 million fee dispute involving counterparty’s anticipatory repudiation of bank’s advisory services contract, which resolved favorably short of litigation
  • Defending a global hospitality brand in a § 1983 case that named the client as an alleged co-conspirator and seeking $100 million for alleged 30-year-old violations of plaintiffs’ civil rights (Eastern District of New York)
  • Representing a private equity fund in parallel offensive and defensive litigations in Florida and Colorado state courts arising from a contract dispute in connection with acquisition of a $100+ million Denver skyscraper
  • Advises a global insurance broker named as a defendant in actions in several countries in connection with the global collapse of a British supply chain financer in connection with potential denial of coverage by reinsurers to a multi-million-dollar tower policy (Australia and England & Wales)
  • Defending a global insurance broker from putative claims of breach of contract by a popular dating app company
  • Representing rightsholders to exclusive videogame soundtrack concert experience in enforcing performance rights
  • Advising a major New York film festival on enforcing branding and naming rights
  • Representing a videogame developer who was victim of a DDoS attack in an insurance claim dispute, including the filing of a complaint and resulting in a favorable settlement (New York Supreme Court)
  • Represented a clinical pharma company that was a target of a Wells notice and prepared a motion to dismiss prior to favorable resolution
  • After a jury trial, obtained a complete defense victory on behalf of the CEO of a portfolio company of a major financial institution, who had come forward to report misconduct on the part of the company’s former CEO; prior to the trial victory, plaintiff had asserted claims including defamation and breach of fiduciary duty and had sought in excess of $200 million in damages

Appellate

  • Represents a respondent investment firm on appeal in the Second Circuit relating to a preliminary injunction entered in aid of arbitration against the appellant, an AI education company that sought to change its business model while respondent’s corporate rights and stock were frozen
  • Authored an amicus curiae brief in the Third Circuit on behalf members of Congress detailing the legislative history of the Commodities Exchange Act’s Special Rule in a case relating to prediction markets and sports gambling
  • Authored an amicus curiae brief in the Federal Circuit on behalf of an organization representing disabled veterans, addressing the statutory and legislative history of the regulatory standard of review of veteran disability claims.  Prepared an amicus curiae brief in connection with petition for certiorari in the Supreme Court of the United States
