Venable Adds Three Federal Contractor M&A Transactions to 2007 Tally

Washington, D.C. (September 18, 2007) Venable LLP's Government Contractor Services Group today announced its representation of government contractors involved in three recently closed merger and acquisition transactions.  These transactions follow the eight closed transactions Venable announced in July, bringing to 11 the number of successful government contractor M&A transactions in which Venable has advised clients thus far in 2007.

The transactions include:

  • Representation of the Potomac Management Group, Inc. (PMG) in its $16.5 million sale to ATS Corporation (OTCBB:  ATCT) (ATSC), with an additional $1.5 million in contingent consideration based on achievement of future revenue targets.  ATSC provides information technology solutions to federal, state and local governments.  PMG provides government and commercial clients with expertise and assistance in global maritime operations, regulations, and program management.  The closing of the transaction was announced September 4.

    Joe Schmelter, partner and co-chair of Venable’s Government Contractor Services Group, led the Venable team representing PMG.  The team also included Bill Walsh (partner), John Wilhelm (partner), Norman Lencz (partner), Monica Grande (associate) and Peter Riesen (associate). 

  • Representation of Alion Science and Technology Corporation in its acquisition of LogConGroup, Inc.  Alion provides technology solutions to customers in government and industry.  LogConGroup provides logistics solutions, including RFID and Automatic Identification Technology solutions to U.S. Army and Joint Forces Depots.  Alion announced the deal August 13.  Terms were not disclosed.

  • Representation of Advanced Concepts, Inc. (ACI) in its sale to L-1 Identity Solutions, Inc. (NYSE:  ID) for approximately $72 million, with an additional $6 million in contingent consideration based on achievement of key performance thresholds.    L-1 offers products and solutions for protecting and securing personal identities and assets.  ACI provides information technology and network security solutions, and systems engineering and development services, for the U.S. Intelligence and military communities.  The closing was announced July 30.
