    Our broad experience in healthcare transactional work has positioned us at the forefront of several significant transactions in recent years, and we have handled the full range of transactional matters, including hospital and health system mergers and acquisitions, restructuring and reorganizations, financings of all types, joint venture transactions, and affiliation transactions. We are frequently called upon to assist our clients with issues that arise in the course of business transactions, including provider, managed care and commercial contracting; due diligence; negotiations; executive and workforce employment issues; risk assessment; succession; risk and insurance analysis and advice; as well as addressing regulatory compliance issues, such as antitrust, HIPAA compliance, Medicare and Medicaid audits, investigations, and certification, Stark and anti-kickback issues, and licensing and accreditation.

We have represented multi-billion dollar health companies in a variety of transactions, including the following:

    • Represented a regional medical center and its affiliates in the financing of non-hospital facilities; 
    • Represented a regional hospital in the financing of its medical office building and of its joint venture with a leading provider of short-term post-acute, rehabilitation, skilled nursing, and long-term care services in the construction of a new nursing home;
    • Represented a multi-billion–dollar health insurer in a $500 million reorganization of multiple subsidiaries, including regulatory approvals;
    • Represented a private equity firm in its $375 million purchase of the assets of the largest operator of continuing care retirement communities (CCRCs) in the United States. The deal involved complex workout negotiations with over thirty (30) lenders, as well as the non-profit owners of each of the nineteen (19) retirement communities;
    • Completed three M&A transactions for one of the world's leading providers of transformational medical technologies on a variety of transactions. Examples include a joint venture with a leading semiconductor maker, as well as a global affiliation agreement with a wireless vital signs monitoring company;
    • Represented a $5 billion Maryland academic health system in the acquisition of multiple community hospitals; 
    • Assisted a large hospital in closing the sale of substantially all of its assets to a large not-for-profit healthcare organization, which operates more than 120 entities, including ten hospitals in the Baltimore-Washington metropolitan area, and its affiliates;
    • Represented a large hospital in connection with restructuring the management of its supply chain contracts, which involved member participation in a group purchasing organization with its initial public offering. Venable acted as outside counsel to the hospital group on all aspects of the transactions;
    • Represented an international social network service and a national financial services corporation in the negotiation of service agreements with providers of on-site medical services for the clients' employees; and
    • Prepared new template provider network agreements for a Medicaid managed care organization.
