Patsy McGowan is a member of Venable's Corporate group. Her practice focuses on a wide range of corporate law matters, including corporate governance, securities transactions, corporate finance and mergers and acquisitions, with a particular focus on Maryland corporation law as it relates to real estate investment trusts (REITs), financial institutions and healthcare companies.

Significant Matters

  • Maryland counsel to Sabra Healthcare REIT, Inc. ("Sabra") in connection with the signing of a definitive merger agreement between Sabra and Care Capital Properties, Inc. ("Care") resulting in Sabra being the surviving company following the merger, which is an all-stock transaction resulting in a combined company with an estimated pro forma total market capitalization of approximately $7.4 billion and an equity market capitalization of approximately $4.3 billion.
  • Maryland counsel to industry-leading owner and asset manager of luxury hotels and resorts in connection with its merger with a major private investment firm
  • Maryland counsel in more than two dozen initial public offerings, including more than a dozen REITs
  • Maryland counsel for the Special Committees of several companies in their consideration and negotiation of strategic alternatives
