Michael Bloom provides tax advice on all types of corporate transactions, including mergers and acquisitions, restructurings, and venture capital investments. Michael focuses primarily on advising emerging fund managers on fund formation and portfolio acquisitions; and advising celebrities and other individuals in the entertainment industry on engagements with film and television studios, advertisers, and brand endorsements transactions – often involving an equity component (e.g., restricted stock, options, profits interests).

Michael works closely with the firm's LA-based media and entertainment practice. He also has significant experience handling tax controversy matters before the IRS and state taxing authorities, on behalf of companies of all sizes and individuals.


Representative Matters

  • Represented the sponsor of a large New York hedge fund on tax issues related to restructuring the management company and winding down offshore and onshore feeder funds 
  • Assisted a UK investment company that specializes in media, infrastructure, and real estate, with U.S. withholding tax issues, on numerous film financing transactions 
  • Represented a joint venture between a U.S. infrastructure fund and an Australian pension fund involving the sale of their joint interest in a liquefied natural gas facility to a global private-equity firm, for gross proceeds valued at more than $1.1 billion 
  • Assisted a publicly traded U.S. pharmaceutical company with IP tax migration and tax planning 
  • Provided tax counsel to a television producer concerning financing of a joint venture with a major television network 
  • Represented sponsors in tax planning for a Mexican debt fund 
  • Represented a branded games developer and publisher, and its casual online gaming site, in an acquisition by a sweepstakes giant 
  • Provided tax advice to a leading multi-channel direct marketer concerning the acquisition of a Portland, Maine-based company that specializes in mobile lead generation, media buying, and analytics 
  • Represented a hotel REIT in an IRS audit of intercompany transfer prices 
  • Represented numerous celebrities in U.S. federal and state residency tax planning
