Patti Francis offers counsel on a wide range of corporate law matters, with a focus on mergers, asset and stock acquisitions and dispositions, investments, and finance, among other business transactions. Patti has extensive experience structuring, negotiating, and documenting transactions for clients in a broad range of industries, including communications, technology, government contracting, commercial mortgage-backed securities (CMBS), nonprofit, life sciences, and media and entertainment.

Experience

Representative Matters

  • Represented an external cybersecurity company in connection with a convertible note indenture relating to business combination and becoming a publicly traded company
  • Represented a nonprofit in the sale to a consortium of investment firms of its for-profit subsidiary that provides technology-enabled management advisory, logistics, and digital and analytics solutions to the U.S. government
  • Represented the special servicer in a CMBS loan in connection with its obligations under a pooling and servicing agreement, including consent, notice, RAC, and fee issues
  • Advising a nonprofit on its strategies to connect academia, industry, and government
  • Represented a global corporation in the closing of a $5.25 billion acquisition of a life sciences company, including facilitating stock consideration to selling shareholders and filing shelf registration
  • Represented a television broadcast telecommunications company in connection with the sale of its television stations through auction, working with an investment bank and financial services company, and ultimately represented the buyer, one of the nation’s leading media and marketing companies, in subsequent transactions and on general corporate matters
  • Represented a newspaper consortium consisting of 30 companies (32% of all U.S. daily circulation and 41% of all U.S. Sunday circulation) as counsel in formation and advising the executive director, CEOs, board, executive committee, and other committees on an ongoing basis; working in partnership with leading interactive companies regarding online advertising opportunities
