Patti Francis offers counsel on a wide range of corporate law matters, with a focus on mergers and acquisitions and other business transactions. Patti advises heads of companies, consortiums, and boards on business transactions, including mergers and acquisitions and finance, and has extensive experience structuring, negotiating, and documenting transactions for clients in the media, entertainment, communications, telecommunications, and technology industries.

Representative Matters

  • Representing a global corporation in closing of a $5.25 billion acquisition of a life sciences company, including facilitating stock consideration to selling shareholders and filing shelf registration
  • Representing a television broadcast telecommunications client in connection with sale of television stations, including working with an investment bank and financial services company, reviewing offers, and negotiating and closing transaction (including regulatory restructuring and sale), and ultimate representation of buyer, one of the nation’s leading media and marketing companies, in subsequent transactions and on general corporate matters
  • Representing a newspaper consortium consisting of 30 companies (32% of all U.S. daily circulation and 41% of all U.S. Sunday circulation) as counsel in formation and advising the executive director, CEOs, board, executive committee, and other committees on on-going basis; working in partnership with leading interactive companies regarding online advertising opportunities
