Molyneaux Stephanie

Stephanie Molyneaux advises clients in a wide variety of transactional matters, including mergers and acquisitions, corporate governance, and commercial contracts. Stephanie also counsels on reorganizations, restructurings, transactional disputes, and related business planning matters. Stephanie has led several transactional matters, routinely coordinating with specialists regarding tax, benefits, employment, and regulatory matters to effectively structure deals for her clients. She has vast experience drafting and negotiating complex limited liability company agreements, partnership agreements, stockholders’ agreements, buy-sell agreements, executive employment agreements, commercial contracts, and other contractual arrangements.

Stephanie’s practice also includes serving as corporate counsel to entrepreneurs and individual investors, as well as outside general counsel to in-house teams at larger organizations. She has prior work experience in the office of corporate counsel at Bechtel Corporation and at the Administrative Conference of the United States.

  • Represented the seller in a sale and related JV transaction involving more than $1 billion of intellectual property rights
  • Represented Metron, Incorporated in the sale of its ORCA division to Systems Planning & Analysis, Inc., a portfolio company of private equity firm Arlington Capital Partners
  • Represented Enterprise Security Solutions, LLC in a sale of its interests to Corbett Technology Solutions, Inc
  • Represented duPont REGISTRY in a stock sale to Driven Lifestyle, LLC, a division of Motorsport Network
  • Represented French aerospace provider Daher in its acquisition of Quest Aircraft Company
  • Represented a publishing company in its strategic purchase of a nationally recognized publisher
  • Represented a strategic acquirer and its subsidiaries in acquisitions in the construction industry
  • Represented a longtime family-owned product supply company in its sale to a strategic acquirer
