Venable represented Metron, Incorporated ("Metron") in the sale of its ORCA division to Systems Planning & Analysis, Inc. ("SPA"), a portfolio company of private equity firm, Arlington Capital Partners. Metron was incorporated in 1984 and is headquartered in Virginia, and most of the ORCA division is operated out of a San Diego facility. The transaction was structured as an asset purchase, with SPA acquiring approximately 70 employees, certain contracts, intellectual property, and other IT assets from Metron.
